Boardroom AI: What Directors Need to Know and Ask

AI has become a board-level concern. It carries strategic opportunity, material risk, regulatory exposure and reputational stakes - all squarely within a board’s remit. But many boards are not well equipped to oversee it. Directors were selected for their experience in business, finance, law and industry, not in AI, and the gap shows in oversight that is either too hands-off or too superficial.

Where the material risks sit - regulatory, reputational, operational - and how they are managed. How AI decisions are governed, and who is accountable. What the organisation is exposed to if AI fails, and what recourse exists. And how AI fits the strategy, including the cost of moving too slow as well as too fast.

This is the same kind of understanding a board has of any major area: enough to oversee, not enough to operate.

The questions directors should ask

Good oversight comes down to good questions. Who is accountable for each AI system, by name? What happens when this AI is wrong, and how would we know? What regulatory exposure does this create, and how is it managed? What data does this rely on, and is that data ready? How do we know employees trust and actually use these tools? What is the cost of not doing this, not just the cost of doing it? And what would have to be true for us to stop or pause an AI system?

Questions like these cut through reassuring presentations, because they require specific answers.

The reporting boards should expect

A board can only oversee what it sees. Boards should expect AI reporting that is regular rather than occasional, honest about what is not working as well as what is, framed in terms of risk and outcomes rather than technology, and specific about accountability. If AI reaches the board only as success stories, the board is not overseeing AI - it is being marketed to.

Building board capability

Boards can close the gap deliberately. That might mean adding a director with genuine AI experience, bringing in independent expertise to advise, or investing in directors’ own AI literacy. The point is to be able to challenge management’s account of AI, not just receive it. A board that cannot challenge cannot oversee.

What directors and leaders should do

If you are a director, treat AI as you would any other material area: learn enough to oversee it, ask specific questions, and expect honest reporting. If you are a leader reporting to a board, help them oversee well - report honestly, frame in terms of risk and outcomes, and be specific about accountability. Good oversight is in everyone’s interest; it is how serious problems get caught early.
